Professional Services Terms of Service
Plain-English terms for hiring Veracity Integrity LLC. Effective 2026-09-18. A signed Statement of Work (SOW) controls paid engagements.
Provider: Veracity Integrity LLC, a Utah limited liability company ("Veracity," "we," "us"). Address: 7533 S Center View Ct Ste R, West Jordan, UT 84084. Contact: info@veracityintegrity.com · support@veracityintegrity.com · +1 (801) 396-5408.
1. What these terms cover
These Professional Services Terms apply when you request or purchase consulting, implementation, tuning, training, or related professional services from Veracity (including PhaseOne10841 work and other defensive cybersecurity projects). They do not replace product open-source licenses for public repository code (see GitHub).
2. SOW governs paid work
Intake forms and emails start a conversation. No paid engagement begins until both parties agree in writing (typically a Statement of Work or order form) that describes scope, deliverables, fees, schedule, and any customer responsibilities. If an SOW conflicts with these Terms, the SOW wins for that engagement.
3. Defensive-only acceptable use
All services are DEFENSIVE ONLY. We do not provide exploit tooling, attack proofs of concept, malware, unauthorized-access assistance, or offensive weaponization. You agree not to request or use our services for those purposes. We may refuse or stop work that would violate this rule or applicable law.
4. Customer responsibilities
- Provide accurate environment details and timely access needed for the SOW.
- Do not send production secrets in intake forms; use agreed secure channels.
- Obtain any internal approvals, change windows, and stakeholder decisions.
- Remain responsible for your production operations and security decisions.
5. Fees and payment
Fees, expenses, and payment timing are set in the SOW. We do not publish a fixed price list on this site. Late payment may pause work. Taxes are your responsibility unless the SOW says otherwise.
6. Intellectual property
Pre-existing Veracity materials, tools, templates, and know-how remain ours. Customer-specific deliverables created under an SOW are licensed or assigned as the SOW states. Public PhaseOne10841 source remains under its repository license. You keep ownership of your data, policies, and systems.
7. Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only for the engagement, except for information that is public, independently developed, or required to be disclosed by law (with notice when legally allowed).
8. Warranties disclaimer
Professional services are provided with reasonable skill and care. Except as expressly stated in an SOW, services and materials are provided as is without other warranties (including fitness for a particular purpose or uninterrupted operation). Security outcomes depend on your environment, policies, and operations.
9. Liability caps
To the maximum extent allowed by law: (a) neither party is liable for indirect, incidental, special, consequential, or lost-profits damages; and (b) Veracity's total liability for an engagement is capped at the fees you actually paid us under that engagement's SOW in the twelve (12) months before the claim. These caps do not limit liability that cannot be limited by law (for example, certain personal injury claims) or your payment obligations.
10. Indemnity (high level)
You will defend and indemnify Veracity against third-party claims arising from your misuse of services, unlawful instructions, or content you provide, except to the extent caused by our willful misconduct. Additional indemnity terms may appear in an SOW.
11. Term and termination
Either party may stop exploratory conversations at any time. Paid SOWs may be terminated as the SOW allows (including for material breach after a cure period if stated). Sections that should survive (confidentiality, IP, liability, governing law) survive termination.
12. Publicity
We will not use your name or logo in marketing without permission, unless the SOW grants a limited reference right.
13. Governing law
These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-law rules. Courts in Utah have exclusive jurisdiction, unless an SOW specifies arbitration or another venue.
14. Changes
We may update these website Terms. The version dated above applies to new intakes after that date. Existing SOWs keep the terms in force when signed unless both parties agree otherwise.
